A regular meeting of the Python Software Foundation ("PSF") Board of Directors was held over Group Conference Call via phone and Internet Relay Chat/Slack beginning at 13:00 UTC (GMT/Zulu), on August 27, 2019. Betsy Waliszewski took notes/minutes.

1 Attendance
The following members of the Board of Directors (12 of 13) were present at the meeting: Lorena Mesa, Jackie Kazil, Naomi Ceder, Jannis Leidel, Katie McLaughlin, Marlene Mhangami (joined halfway through the meeting), Eric Holscher, Anna Ossowski, Jeff Triplett, Van Lindberg, Christopher Neugebauer, and Ewa Jodlowska.
Betsy Waliszewski (Event Planner and Administrator), Jackie Augustine (PyCon Manager),Phyllis Dobbs (Financial Controller), Joe Carey (Accounting Manager), and Laura Graves (Financial Analyst) were also in attendance.
2 Resolutions Decided for Consent Agenda
Minutes from prior meetings: July 30, 2019:
RESOLVED, that the Python Software Foundation approve the minutes at https://mail.python.org/mailman/private/psf-important/2019-August/002965.html as representing a true and accurate record of the July 30, 2019 meeting.
RESOLVED: That the Python Software Foundation adopt the attached Code of Conduct and Enforcement Procedures, replacing the Code of Conduct adopted on 19 April 2013 with immediate effect, with the exception of Fiscal Sponsorees, for whom the code will be adopted on 1 January 2020, or earlier at their discretion.
RESOLVED: That the Python Software Foundation direct the Conduct Working Group to consider power imbalances on an event-by-event basis as part of their enforcement procedures.
RESOLVED: That the Python Software Foundation thank the Conduct Working Group and Sage Sharp for their work in developing the new Whole-of-organisation Code of Conduct.

- Helped with site selection next steps and suggested additional information that may help the board
- Helped review 2020 pages for launch
- Attend bi-weekly stand-ups & weekly meeting for meeting planners
- Continue to work with Event Manager on tasks that still may not be 100% familiar
- Continue to help review staff’s work related to PyCon
PSF
- Wrote and gave a keynote at PyCon Africa
- Had many discussions with attendees at PyCon Africa about PSF initiatives such as education
- Notified all Python in Education approved proposals, planned agenda for meeting with Python in Education website grant and attended meeting
- Started reviewing additional blogger applications that came in since early August
- Working with a local core developer on the September Core Dev Sprints & booked hotel contracts. Sent in final rooming list and notified all core devs of assignments
- Wrote a blog for upcoming Humble Bundle and setup all tweets
- Wrote and published the Q2 Fellow blog
- Planned activities for inaugural staff retreat
- Working on keynote for PyColorado
- Starting to plan November board meeting details
- Starting to work on next version of Developers Survey with JetBrains
- Monthly meeting with board Chairperson

- Helping review CRMs, currently reviewed Salesforce, participated in call with Virtuoso
- Continue to attend weekly Steering Council meetings

- Chaired Pycon Africa and shared information with attendees about the PSF

2.18 Christopher Neugebauer
- Represented the Foundation at PyCon Australia in Sydney, including presenting a short talk where I encouraged people to sign up as members, and to apply for grants.
- Worked with the board, including calls and chat sessions with multiple board members, to resolve outstanding issues with the draft Code of Conduct.
- Worked with Code of Conduct WG and Sage Sharp to resolve outstanding issues with the draft Code of Conduct, and identified further work relating to our Diversity Policy.
- Worked with the board to produce draft resolutions to adopt the new Code of Conduct.
2.19 Jeff Triplett
