Minutes of a Regular Meeting of the Board of Directors

December 18, 2017

A regular meeting of the Python Software Foundation ("PSF") Board of Directors was held over Group Conference Call via phone and Internet Relay Chat beginning at 15:00 UTC (GMT/Zulu), on December 18, 2017. Betsy Waliszewski took notes/minutes.

All votes are reported in the form "Y-N-A" (in favor-Y‚opposed-N‚abstentions-A; e.g. "5-1-2" means "5 in favor, 1 opposed, and 2 abstentions").

1   Attendance

The following members of the Board of Directors (12 of 13) were present at the meeting: Lorena Mesa, Naomi Ceder, Paul Hildebrandt, Thomas Wouters, Marlene Mhangami, Trey Hunner, Eric Holscher, Kushal Das, Kenneth Reitz, Paola Katherine Pacheco, Jackie Kazil, and Ewa Jodlowska. Van Lindberg was represented by proxy.

Kurt Kaiser (Treasurer), Betsy Waliszewski (Event Planner and Administrator), Phyllis Dobbs (Controller/Assistant Treasurer Accountant), and Mark Mangoba (IT Manager) were also in attendance.

7   New Business

No new resolutions were voted on.

8   Other Business / Discussions

  • Cancellation of PyCon Pune 2018: It was agreed that the organizers can use the PSF grant to help cover the refund fees for returning sponsor money. They will return any funds remaining.
  • PyCon Belarus 2018 wants to know if anyone from the PSF can do a talk. One director expressed interest in attending and speaking.
  • Missing conflict of interest forms from board members.
  • PSF Fiscal Sponsorship expansion update and possible "partnership" with Conservancy; https://github.com/python/psf/issues/4 (Ewa)
  • Directors discussed the possibility of applying for a private grant and we talked about the auditing process in order to be able to apply for government grants. More discussion will follow on both topics.

9   Action Items

  • Fiscal sponsorship expansion discussion to be continued at the January board meeting. The board agreed to a partnership with the Software Freedom Conservancy for moving PyPy over to the PSF. Continue discussion about Flask fiscal sponsorship.
